The agreement was made for a purpose that lost its value due to an unforeseen event that happened after the agreement was made, and that was not your fault. Even if the performance of the agreement remained possible, it became meaningless in light of the new circumstances.

If the Plaintiff had not performed their part of the agreement (e.g. give you money, perform services) this defense excused you from accepting what they were going to provide. Or, if the Plaintiff had already performed their part of the agreement, this defense allows you to return what was given and excuses you from doing anything more for the agreement.

In February 2020, you entered into an agreement with the Plaintiff to borrow money in April 2020 so that you could open a restaurant. Because of the COVID-19 pandemic, the purpose of your agreement became useless and you were unable to open your restaurant. As a result, you were excused from accepting the money from the Plaintiff in April 2020.

En febrero de 2020, usted acord贸 con el Demandante tomar prestado dinero en abril de 2020 para abrir un restaurante. Debido a la pandemia de COVID-19, el prop贸sito de su acuerdo se volvi贸 in煤til y no pudo abrir su restaurante. Como resultado, se le eximi贸 de aceptar el dinero del Demandante en abril de 2020.
